Terms of Sale

Article 1 - Purpose and Scope

These Terms of Sale (hereinafter "Terms") govern the contractual relationships between Locordi, publisher of the ComposeMeNow service, and any customer subscribing to the Service (hereinafter "the Customer").

Any subscription implies unreserved acceptance of these Terms.

Article 2 - Description of Offers

ComposeMeNow offers the following subscription plans:

Article 3 - Prices

3.1 Prices are indicated in euros, excluding taxes (HT). Applicable VAT will be added at the time of invoicing according to the rate in force.

3.2 Prices may be modified at any time. Price modifications do not apply to current subscriptions, except upon renewal.

3.3 The Customer will be informed of any price modification at least 30 days before the renewal of their subscription.

Article 4 - Order and Payment

4.1 Subscription to a paid plan is made online on the ComposeMeNow website.

4.2 Payment is made by credit card via the secure Stripe platform. Payment data is processed directly by Stripe and is not stored by Locordi.

4.3 The subscription is automatically renewed at each due date (monthly or annual) unless cancelled by the Customer.

4.4 In case of payment failure, Locordi reserves the right to suspend access to the Service until regularization.

Article 5 - Right of Withdrawal

5.1 In accordance with Article L221-18 of the French Consumer Code, the consumer Customer has a period of 14 days from subscription to exercise their right of withdrawal, without having to justify reasons or pay penalties.

5.3 To exercise the right of withdrawal (if applicable), the Customer must send their request by email to contact@composemenow.com or via the contact form on the site, before having used the Service.

5.4 In case of valid withdrawal, the refund will be made within 14 days following receipt of the request, by the same payment method used for the order.

5.5 If the Customer has started using the Service (newsletter generation, email sending, etc.) during the withdrawal period, the right of withdrawal is permanently lost in accordance with Article L221-28.

Article 6 - Duration and Termination

6.1 The subscription is taken out for an indefinite period with monthly or annual billing.

6.2 The Customer may terminate their subscription at any time from their account settings. Termination takes effect at the end of the current billing period.

6.3 No pro rata refund is granted in case of termination during the period.

6.4 Locordi reserves the right to terminate a Customer's subscription in case of non-compliance with the Terms of Use or these Terms, without notice or refund.

Article 7 - Warranties and Liability

7.1 Locordi undertakes to provide the Service with diligence and according to the rules of the art, but cannot guarantee uninterrupted or error-free operation.

7.2 Locordi's liability is limited to the amount of sums actually paid by the Customer during the last 12 months.

7.3 Locordi cannot be held liable for indirect damages such as data loss, loss of revenue, image damage, etc.

Article 8 - Personal Data

The processing of Customer's personal data is governed by our Privacy Policy, available at: www.composemenow.com/legal/privacy

Article 9 - Data Processing (DPA)

9.1 In the context of using the Service, Locordi acts as a processor of the Customer's subscribers' personal data, within the meaning of the GDPR.

9.2 Locordi undertakes to:

• Only process data on documented instruction from the Customer
• Guarantee the confidentiality of processed data
• Implement appropriate security measures
• Assist the Customer in fulfilling their GDPR obligations
• Delete or return data at the end of the service
• Make available information necessary to demonstrate compliance with obligations

9.3 The list of subsequent sub-processors is available in our Privacy Policy.

Article 10 - Applicable Law and Disputes

10.1 These Terms are governed by French law.

10.2 In case of dispute, the Customer may use the consumer mediation service free of charge.

10.3 Failing amicable resolution, the competent courts within the jurisdiction of the Versailles Court of Appeal shall have sole jurisdiction.
